These Terms of Service ("Terms") govern your access to and use of RefSource, a referral and commission tracking application for trade and restoration shops, provided by Synctek LLC ("Synctek," "we," "us," or "our"). By creating an account, accepting an invite, or otherwise using RefSource (the "Service"), you agree to these Terms.
1. Acceptance of these Terms
RefSource is a business tool. You must be at least 18 years old and have the authority to bind the business you represent to use the Service. If you are creating an account on behalf of a company, shop, or other organization, you represent that you are authorized to accept these Terms on that organization's behalf, and "you" in these Terms refers to both you individually and that organization.
If you do not agree to these Terms, do not use the Service.
2. The Service and your account
RefSource lets trade and restoration shops track referrals and commissions between shops, invite partner shops, and manage payouts. Each subscribing business operates within its own isolated tenant.
- One business per tenant. Each tenant is intended for a single business entity. If you operate multiple locations or brands and want them managed as one tenant, contact us — don't create duplicate or shared logins across unrelated businesses without our agreement.
- Sign-in. RefSource uses passwordless email sign-in (magic link / one-time code). You are responsible for maintaining access to the email address on your account and for all activity that occurs under your account.
- Account security. Notify us immediately at [email protected] if you suspect unauthorized access to your account or tenant.
- Referral partners. Businesses invited as referral partners (rather than subscribing tenants) may use limited partner functionality for free, subject to these Terms and any partner-specific terms presented at invite acceptance.
3. No payment processing; funds
RefSource is a record-keeping and tracking tool only. It is not a payment processor, escrow agent, money transmitter, or bank, and it is not a party to any transaction between you and your referral partners.
RefSource does not hold, transfer, disburse, or take custody of any funds. All commission and referral payments are made directly between the parties; RefSource merely records and tracks the amounts the parties enter.
The parties are solely responsible for the accuracy, legality, taxation, and actual settlement of any payments. Synctek has no liability for, and no obligation to collect, remit, reconcile, or guarantee, any commission or payment tracked in the Service.
4. Subscriptions, billing & auto-renewal
RefSource is offered on paid subscription plans, billed per tenant based on the number of user seats:
- Starter — $49/month, up to 3 seats.
- Growth — $99/month, up to 10 seats.
- Pro — $199/month, up to 15 seats, additional seats $15/seat/month.
Annual billing is available on each plan at a discount of approximately 20% versus monthly billing. Referral partners who are not subscribing tenants use the Service free of charge.

All payments are processed by our payment processor, Stripe. RefSource never receives or stores your full card number — see Section 10. Adding seats beyond your plan's included allowance on the Pro plan is billed at $15 per additional seat per billing period, prorated for the remainder of the current period. Downgrading plans or removing seats takes effect at the start of the next billing period. Prices are exclusive of applicable sales, use, VAT, or similar taxes, which we will collect where required by law and which will be reflected on your Stripe invoice or receipt.
5. Free trial
New tenants receive a 14-day free trial of the Service. During the trial you may be asked to enter a payment method to activate the trial. If you do not cancel before the trial ends, your account automatically converts to a paid subscription at the plan you selected, and your card on file will be charged according to Section 4. If no payment method is on file when the trial ends, trial features may be paused until one is added. You can cancel the trial at any time before it ends at no charge, per Section 6.
6. Cancellation & refunds
How to cancel. You may cancel your subscription at any time from your account's billing settings, or by emailing [email protected]. Cancellation stops future automatic renewal.
Effect of cancellation. When you cancel, you retain access to the Service through the end of your current paid billing period. Your subscription will not renew after that period, and no further charges will occur. We do not prorate or credit unused time within a period you have already paid for.
No refunds. Except where refunds are required by applicable law, all fees are non-refundable. You may cancel at any time to stop future billing, but fees already paid — including for the current and any prior billing periods — are not refunded, prorated, or credited. We provide a 14-day free trial (see Section 5) so you can evaluate the Service before any charge.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable trade, licensing, or consumer protection law.
- Attempt to access another tenant's data, or share your login credentials with anyone outside your organization.
- Upload content you do not have the right to share, or that infringes another party's intellectual property or privacy rights.
- Interfere with, disrupt, reverse-engineer, or attempt to gain unauthorized access to the Service or its underlying infrastructure.
- Use the Service to send spam, unsolicited commercial communications, or to harass other users or referral partners.
- Circumvent seat limits, billing, or plan restrictions through technical means.
We may suspend or terminate accounts that violate this section, with notice where practicable.
8. Customer data & privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. In addition, with respect to the business data you and your team put into RefSource (referrals, commission records, notes, attachments — "Customer Data"):
- You own your Customer Data. As between you and Synctek, you retain all rights to the Customer Data you submit to the Service.
- Tenant isolation. Customer Data is logically isolated per tenant using row-level security; it is not visible to other tenants except where you explicitly share it with a referral partner as part of the Service's core functionality.
- Export on request. You may request an export of your Customer Data at any time by emailing [email protected]. We will provide a reasonable export within a reasonable time.
- License to operate the Service. You grant Synctek a limited license to host, process, and display Customer Data solely as needed to provide the Service to you and the referral partners you connect with.
9. Intellectual property
Synctek and its licensors own all right, title, and interest in and to the RefSource software, website, branding, and documentation, including all related intellectual property rights. These Terms do not grant you any rights to Synctek's trademarks, logos, or brand assets. Subject to your compliance with these Terms, Synctek grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.
As stated in Section 8, you retain ownership of your Customer Data.
10. Third-party services
The Service relies on third-party providers to operate, including:
- Stripe, for payment processing. Stripe collects and processes your payment card details directly; RefSource does not receive, transmit, or store full card numbers. Your use of Stripe's payment functionality is also subject to Stripe's terms.
- Sentry, for crash and error monitoring, as described in our Privacy Policy.
We are not responsible for the acts or omissions of third-party providers, though we select and configure them with reasonable care.
11. Disclaimers & limitation of liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCTEK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCTEK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify and hold Synctek harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms or applicable law, (b) Customer Data you submit that infringes or misappropriates a third party's rights, or (c) your violation of another party's rights in connection with your use of the Service.
13. Term & termination
These Terms remain in effect while you use the Service. Either party may terminate: you by cancelling per Section 6, or Synctek by suspending or terminating your account for violation of Section 7, non-payment, or by providing at least 30 days' notice for termination for convenience. Upon termination, your right to access the Service ends, though Sections 3, 8, 9, 11, and 12 survive termination. We will retain and make available for export any Customer Data as described in our Privacy Policy before deletion.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app notice at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. The "Effective" date at the top of this page reflects the most recent revision.
15. Governing law & dispute resolution
These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction and venue of those courts.
